How do I invest in Issuance?
You can easily invest in our offering online using our secure investment portal, or by navigating to our offering listed at invest.issuance.com/issuance – to invest directly using our investment portal, please take the following steps:
1. Navigate to our investment portal
2. Complete the investor registration questionnaire, including selecting a payment method and investment amount
3. Read the Subscription Agreement, Customer Agreement and ACH Agreement (if paying via ACH)
4. Type your full legal name to sign the Subscription Agreement
5. Click “Complete Your Investment”

Is there a minimum and maximum investment amount?
The minimum individual investment is $4,998.84, which is equivalent to 3,787 shares at the current share price. There is also no limit on how much an eligible investor can invest, other than the maximum offering size of $5,000,000.00.

The price per share is $1.3243 in this offering.
What is Issuance?
Founded in 2018, Issuance is a SaaS-based capital-raising platform utilized by issuers for regulation financings. The platform is built on a foundation of industry leadership and success, where Issuance has helped issuers raise over $350M of growth capital. Issuance offers a streamlined mobile and desktop-friendly investor experience that allows investors to check-out in under 1 minute using Apple Pay, Google Pay, as well as standard payment methods.
Will I be able to sell/transfer my shares?
Currently there is no market of liquidity for the shares sold in this offering. As an investor in a private company, you typically receive a return on your investment under the following two scenarios:
1. The company gets acquired by another company.
2. The company goes public (undergoes an initial public offering or direct listing on the NASDAQ, NYSE, or another exchange).
What is the difference between an accredited vs. non-accredited investor?
An accredited investor is an investor who, by meeting certain specific criteria, is considered eligible to make investments in early stage companies conducting certain types of offerings, including Regulation D 506(c) offerings. For individual investors, one of the following criteria must be met to be considered an accredited investor:
- Net worth over $1 million, excluding primary residence (individually or with spouse or partner)
- Income over $200,000 (individually) or $300,000 (with spouse or partner) in each of the prior two years, and reasonably expects the same for the current year
- Investment professionals in good standing holding the general securities representative license (Series 7), the investment adviser representative license (Series 65), or the private securities offerings representative license (Series 82)
- Directors, executive officers, or general partners (GP) of the company selling the securities (or of a GP of that company)
- Any “family client” of a “family office” that qualifies as an accredited investor
- For investments in a private fund, “knowledgeable employees” of the fund

What happens after I complete the online investment process?
ACH and Credit Card transactions can take 1-2 business days to process. You will receive an email notification from invest@issuance.com notifying you when your funds are received.

Once funds are received, it can take up to 1-2 weeks to process your investment completely. In some instances, we may reach out to you requesting additional information in order to verify your identity & finish processing your investment, which may increase the overall processing time.

After your investment has been fully processed and confirmed, you will receive an Investment Confirmation email with your Signed Subscription Agreement and Ceremonial Certificate. You are officially an investor in Issuance only once you have received this email.

If a couple of weeks should pass and you have not yet received an Investor Confirmation email with your Signed Subscription Agreement and Ceremonial Certificate, we may still require additional information from you in order to process or finalize your investment - please feel free to reach out by email to shares@issuance.com to inquire about any necessary action. It is strongly recommended that you check your spam folder if you find yourself awaiting any email communications regarding your investment, please do so as a first step before reaching out directly.
Do I need to be an accredited investor to invest?
Yes, this offering is only open to accredited investors.
What information do I need to provide?
In order to verify your eligibility to invest in this offering, including verifying your status as an accredited investor, you will need to provide information such as name, address, income, net-worth, and other similar information depending on investor type - you’ll find a detailed description of how to verify your eligibility during the investment process.
Do I need to be a US citizen to invest?
Our offering is open to both U.S. citizens and residents as well as international investors, provided investors meet eligibility requirements.
